Qbeat Ltd – Legal Terms (Terms of Service)

1. Acceptance of These Terms

By accessing or using Qbeat (the "Service"), you agree to be bound by these Legal Terms ("Terms"). If you do not agree, do not use the Service.

2. The Service

Qbeat provides cloud-based, AI-powered search-engine-optimisation tools. Features may be added, removed or changed from time to time (see § 11).

3. Eligibility

You may use the Service only if you have reached the minimum age of digital consent in your country. If you are younger, you must have permission from your parent or legal guardian, who accepts these Terms on your behalf.

4. Subscriptions, Fees & Billing

Price changesWe may revise fees or introduce new tiers; changes apply on your next renewal. We will give at least 14 days' notice by email or in-app message.
RefundsAll sales are final. We may issue a refund if required by law or if Qbeat, in its sole discretion, deems it appropriate on a case-by-case basis.

5. Cancellation

You may cancel at any time in the Account → Billing portal. The cancellation takes effect at the end of the current billing period. Workspaces are retained for 30 days post-cancellation for easy reactivation.

6. Acceptable Use

You agree not to:

  1. Violate any applicable law or regulation while using the Service.
  2. Upload or generate unlawful, infringing, defamatory, hateful or otherwise objectionable content.
  3. Reverse-engineer, probe, overload or scrape the Service, except via an authorised API.
  4. Circumvent any security or access-control mechanisms.

Breaches may lead to suspension or termination without notice (§ 12).

7. Intellectual Property & Licences

  • Our IP. The software, models and trademarks are owned by Qbeat Ltd or its licensors.
  • Your Content. You own all prompts, inputs and outputs you create. You grant Qbeat a worldwide, royalty-free licence to process and store that content solely to operate, secure and improve the Service.
  • Licence to You. Qbeat grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes, subject to these Terms.

8. Privacy

Our Privacy Policy (available at qbeat.ai/privacy) explains what data we collect, how we use it, and your rights under GDPR, UK GDPR and CCPA/CPRA.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBEAT DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, QBEAT LTD'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED (i) THE AMOUNT YOU PAID QBEAT IN THE 12 MONTHS PRECEDING THE CLAIM OR (ii) £500, WHICHEVER IS GREATER. QBEAT IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

11. Changes to the Service or These Terms

We may modify the Service, discontinue features, or update these Terms at any time. Material changes will be posted on our website and/or emailed to you at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Termination

Either party may terminate these Terms at any time. Upon termination: (a) your right to use the Service ceases immediately; (b) clauses intended to survive (IP, liability, dispute resolution, etc.) remain in force.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved exclusively in the courts of London, unless mandatory law provides otherwise.

14. Export & Sanctions Compliance

You may not use the Service if you are located in an embargoed country or are on sanctions lists administered by HM Treasury, OFSI, the EU, OFAC or other relevant authorities.
